Vendor Terms

Effective Date: July 2, 2024 This User and Vendor Agreement ("Agreement") is a legally binding contract between you ("User" or "Vendor") and Whizapp ("we," "us," or "our"). By registering for and using our services, including our WhatsApp Business Cloud API, chatbots, and WhatsApp Business API setup services, you agree to comply with and be bound by the terms and conditions of this Agreement. If you do not agree to these terms, you must not use our services. 1. Definitions User: Any individual or entity that registers for and uses Whizapp's services. Vendor: Any individual or entity that provides services or products through Whizapp's platform. Services: Whizapp's WhatsApp Business Cloud API, chatbots, WhatsApp Business API setup services, and any other related services provided by Whizapp. 2. Registration 2.1 User Registration To use our services, Users must create an account by providing accurate and complete information. Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account. 2.2 Vendor Registration Vendors must apply and be approved by Whizapp to provide services or products on our platform. By registering as a Vendor, you agree to provide accurate and complete information and to comply with this Agreement and all applicable laws and regulations. 3. Services 3.1 Provision of Services Whizapp will provide Users and Vendors with access to our WhatsApp Business Cloud API, chatbots, and WhatsApp Business API setup services in accordance with this Agreement. 3.2 Service Changes Whizapp reserves the right to modify, suspend, or discontinue any aspect of the services at any time without notice. We will not be liable to Users or Vendors for any such modifications, suspensions, or discontinuations. 4. Fees and Payments 4.1 Fees Users and Vendors may be required to pay fees for the use of our services. All fees are non-refundable unless otherwise stated. 4.2 Payments Payments for services must be made using the payment methods specified by Whizapp. Users and Vendors are responsible for providing accurate billing information and for maintaining sufficient funds to cover any charges. 5. User and Vendor Responsibilities 5.1 Compliance Users and Vendors agree to comply with all applicable laws, regulations, and this Agreement when using our services. 5.2 Prohibited Activities Users and Vendors must not engage in any activities that are illegal, harmful, or violate the rights of others. Prohibited activities include, but are not limited to, sending spam, distributing malware, and infringing intellectual property rights. 5.3 Data Security Users and Vendors are responsible for maintaining the security and confidentiality of their data and for promptly notifying Whizapp of any unauthorized access or security breaches. 6. Intellectual Property 6.1 Ownership Whizapp retains all rights, title, and interest in and to our services, including all related intellectual property rights. Users and Vendors do not acquire any ownership rights by using our services. 6.2 License Whizapp grants Users and Vendors a limited, non-exclusive, non-transferable license to use our services in accordance with this Agreement. 7. Termination 7.1 Termination by Users or Vendors Users or Vendors may terminate their account at any time by providing written notice to Whizapp. 7.2 Termination by Whizapp Whizapp may terminate or suspend access to our services immediately, without prior notice or liability, for any reason, including breach of this Agreement. 8. Limitation of Liability Whizapp will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement or the use of our services. 9. Indemnification Users and Vendors agree to indemnify, defend, and hold harmless Whizapp, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to their use of our services or breach of this Agreement. 10. Governing Law This Agreement will be governed by and construed in accordance with the laws of the jurisdiction in which Whizapp is located, without regard to its conflict of law principles. 11. Changes to This Agreement Whizapp may update this Agreement from time to time. We will notify Users and Vendors of any changes by posting the new Agreement on our website.
